Tokenized invoices and receivables financing let investors fund a business's unpaid invoices at a discount, in exchange for a digital token representing a claim on the payment once the invoice's debtor pays. The mechanism behind it is old: businesses have sold or borrowed against unpaid invoices for decades to free up cash before customers pay. Tokenization changes how that claim is recorded, divided into smaller pieces, and distributed to a wider investor base. It does not change the core risk, which is simple to state and easy to underestimate: the invoice only pays if the debtor actually pays.

What Invoice and Receivables Financing Is

A business ships goods or delivers a service, then sends an invoice to its customer with payment due in, typically, 30 to 90 days. Waiting that long for cash can strain a business's operations, especially a smaller one. Receivables financing solves that gap: a financier advances cash against the invoice today, at a discount to its face value, and collects the full amount when the customer eventually pays.

Two common structures:

  • Factoring. The business sells its invoices outright to a financier, who takes on the responsibility (and the risk) of collecting from the customer.
  • Invoice discounting. The business borrows against its invoices as collateral but keeps managing collections itself; the financing is a loan, not a sale.

The discount, or the interest charged, is the financier's return. If a $100,000 invoice is purchased for $97,000 and the customer pays in full 60 days later, that $3,000 spread is the return over that period, unless a fee structure is layered on top.

Receivables financing has traditionally required the financier to underwrite both the business selling the invoice and the customer who owes the money, verify that the underlying transaction is real, and manage collections — work that has kept much of this market concentrated among banks and specialty finance firms. How Tokenization Applies to Invoices and Receivables

Tokenization applies fractionalization and digital distribution to a financing structure that already existed. The general flow:

  1. Sourcing. An originator — a fintech lender, a specialty finance platform, or a fund — sources invoices from businesses that want early payment, and underwrites both the seller and the debtor.
  2. Pooling. Invoices are typically pooled rather than tokenized one at a time, spreading exposure across many debtors so that one late or non-paying customer does not sink the whole pool.

  4. Investor participation. Investors buy tokens representing a slice of the pool's expected cash flows, in place of needing a direct financing relationship with each business.
  5. Collection and repayment. As customers pay their invoices, cash flows back through the structure to the originator and then to token holders, net of the originator's fees.

Tokenization mainly changes access, transferability, and reporting granularity. It does not verify that a given invoice is genuine, and it does not make the underlying customer more likely to pay. Those functions still sit with the originator's underwriting process, the same way they would in a traditional receivables financing arrangement.

Where the Return Comes From, and Over What Term

The return in receivables financing comes from the discount between what the financier pays for the invoice and its full face value, or from an interest rate charged on an invoice-backed loan. It is not a market-driven return — nothing here is tied to an asset appreciating in price.

Terms are typically short, often matching invoice payment terms of 30 to 90 days, though a continuously operating pool can maintain a longer overall structure by originating new invoices as older ones are collected. Short individual terms are often presented as a feature, since capital theoretically turns over quickly and a single late payer affects a smaller share of the total pool. The Main Risk: Non-Payment and Fraud

Two risks sit at the center of receivables financing, tokenized or not.

Non-payment risk. The customer who owes the invoice may pay late, dispute the amount, or become insolvent before paying at all. Because the return depends entirely on that payment arriving, non-payment is not a side risk — it is the core credit risk of the entire category. A pool's overall performance depends on the average payment behavior of the underlying customer base, which is why customer concentration and the quality of the originator's underwriting matter as much as the interest rate offered.

Invoice fraud risk. Some of the most damaging losses in receivables financing history have come not from customers failing to pay, but from invoices that did not represent real transactions at all — fabricated invoices, invoices for goods never shipped, or the same invoice pledged to more than one financier. This is a long-standing risk in traditional factoring and invoice discounting, and tokenization does not remove it. A digital token can make a fraudulent claim look more organized and verifiable than it actually is, if the underlying verification process behind the token is weak.

Related but secondary risks include dilution risk (the customer has valid offsetting claims, like a return or discount, that reduce what they actually owe), commingling risk (collected cash is not properly segregated before reaching investors), and originator risk (the platform sourcing the invoices has weak controls or misrepresents the pool).
